Terms of Service

1.

Acceptance

By creating a tenant account, registering a service, or calling any paid service via Weft, you agree to these terms. If you do not agree, do not use the service.

2.

The service

Weft operates a Model Context Protocol (MCP) payment hub. We:

  • Hold tenant balances on-chain via the WeftEscrow smart contract (Base Sepolia testnet in V0.x; Base mainnet after audit).
  • Route payments from calling agents to service providers at published prices.
  • Maintain a public registry of available services.

Eligibility

You must be 18+ years old and have legal capacity to enter contracts in your jurisdiction. You must not be on OFAC, EU, or UN sanctions lists.

Tenant accounts

We issue Bearer tokens to identified tenants. You are responsible for:

  • Safeguarding your token. Anyone with your token controls the balance.
  • Funding your account in USDC (Base Sepolia in V0.x).
  • Complying with applicable laws when your agents use downstream services.
5.

Service providers

If you register a service in the public registry:

  • You own the service: only you can deregister it.
  • You agree to the published price and must serve calls while the service is active.
  • You must not register illegal services (CSAM, violent content, unlicensed investment advice, etc.).
  • We may remove services that violate this section; we will notify you.
6.

Fees

V0.x: free (launching at-cost in private beta).
V1+: take rate of 5-10% on every settled call, withheld at charge time. The specific rate will be communicated 30 days in advance.

7.

Refunds

  • Automatic refund: if the downstream service fails (technical error, timeout, invalid data), the debit is automatically reversed.
  • Manual refund: in case of a dispute between caller and provider, contact us. We act as a neutral mediator and may freeze the disputed amount in escrow until resolution.
  • No refund: valid calls returning valid data where you disagree with the result (e.g., “didn't like the quote”).

Withdrawals

You may withdraw unused balance at any time via the withdraw_balance tool. Withdrawals are executed as ERC-20 transfers on-chain; we cover gas in V0.x.

9.

Suspension and termination

We may suspend or terminate your account if you:

  • Violate these terms.
  • Are identified as a sanctioned party.
  • Use the platform in a way that threatens its stability (DDoS-pattern requests).

Upon termination: balance may be withdrawn within 30 days; after that, unclaimed balance is forfeited (per anti-abandonment clause, standard for custodial services).

10.

Risks (read carefully)

  • Testnet risk: V0.x uses the Base Sepolia testnet — funds have no monetary value. Do not deposit real USDC.
  • Smart contract risk: the escrow is open-source but unaudited in V0.x. Bugs may lock funds.
  • Operator risk: we have admin privileges (charge, rotate operator key). We use them only as documented; preventing self-rugging in code is not possible — only by design.
  • Blockchain risk: Base network downtime may block withdrawals.
  • Platform risk: Weft is a pre-incorporation startup. We may shut down — prompt withdrawal is recommended.

Disclaimers

The service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

12.

Limitation of liability

To the extent permitted by law, our aggregate liability for any claim is limited to the amount you paid us (zero in V0.x) or the amount we hold on your behalf as on-chain balance, whichever is greater, but in no event exceeding US$10,000.

This does not limit liability for gross negligence, willful misconduct, or where applicable law prohibits limitation.

13.

Indemnification

You agree to indemnify us against claims arising from:

  • Violation of these terms.
  • Use of services that infringes on third-party rights.
  • Content of services you register (if you are a provider).
14.

Governing law

Will be established upon entity formation. Expected: Delaware (US-side) and Estonia / Lithuania (EU-side), with an arbitration clause.

15.

Changes

We may update these terms; material changes are communicated 30 days in advance. Continued use constitutes acceptance.
